Nonprofit Hospital Transaction Notices

California law requires the Attorney General's review and consent for any sale or transfer of a health care facility owned or operated by a nonprofit corporation whose assets are held in public trust. This requirement covers health care facilities that are licensed to provide 24-hour care, such as hospitals and skilled nursing facilities.

The review process includes public meetings and, when necessary, preparation of expert reports. The Attorney General's decision often requires the continuation of existing levels of charity care, continued operation of emergency rooms and other essential services, and other actions necessary to avoid adverse effects on healthcare in the local community.

Notice of Proposed Change to the Attorney General's Conditions re: The change in Governance of Saint Agnes Medical Center

Notice is hereby given that, on October 31, 2017, the Attorney General's Office received a request from Saint Agnes Medical Center to modify Condition VII of the Attorney General's Decision. The modification seeks a reduction of Saint Agnes Medical Center's obligation to provide a certain level of charity care under Condition VII. A copy of the request, pdf is attached.

On April 26, 2013, the Attorney General conditionally approved the proposed change of governance of Saint Agnes Medical Center, a 436 licensed bed, acute-care hospital located in Fresno, California. Trinity Health Corporation, an Indiana nonprofit corporation, is the sole corporate member of Saint Agnes Medical Center. Trinity Health Corporation and Catholic Health East, a Pennsylvania nonprofit corporation, entered into a Consolidation Agreement whereby both would have a new sole corporate member, CHE Trinity, Inc., an Indiana nonprofit corporation. Pursuant to Title 11, California Code of Regulations, Section 999.5, subdivision (h)(3), "A public meeting shall be held before the decision is made either at the discretion of the Attorney General or upon the request of any person within 7 days of the public notice." Proposed Change of Control and Governance

The Attorney General is reviewing the proposed change in control and governance of Fremont-Rideout Health Group, a California nonprofit public benefit corporation, and the sole corporate member of Rideout Memorial Hospital, a California nonprofit public benefit corporation, which owns and operates Rideout Regional Medical Center which includes Rideout Memorial Hospital, a 173 licensed bed general acute care hospital located in Marysville in Yuba County, and the sole corporate member of United Com-Serve, a California nonprofit public benefit corporation that operates long-term care facilities which includes a skilled nursing facility located in Yuba City in Sutter County.

The Affiliation Agreement is between the Fremont-Rideout Health Group, a California nonprofit public benefit corporation, Rideout Memorial Hospital, a California nonprofit public benefit corporation, United Com-Serve, a California nonprofit public benefit corporation, Fremont-Rideout Foundation, a California nonprofit public benefit corporation, and Stone Point Health, a California nonprofit public benefit corporation and affiliate of Adventist Health System/West, a California nonprofit religious corporation, doing business as Adventist Health. The transaction proposes that Stone Point Health become the sole corporate member of Fremont-Rideout Health Group. The transaction is being reviewed under the written notice review process pursuant to Corporations Code section 5920 et seq.

The California Attorney General is reviewing the proposed change in control and governance of Torrance Health Association, Inc., a California nonprofit public benefit corporation, and sole corporate member of Torrance Memorial Medical Center, a California nonprofit public benefit corporation, that owns and operates a 649 licensed bed general acute care hospital in the county of Los Angeles, under the written notice review process pursuant to Corporations Code section 5920 et seq.

The "Affiliation Agreement" is between Torrance Health Association, and Cedars-Sinai Health System, a California nonprofit public benefit corporation, and sole corporate member of Cedars-Sinai Medical Center, a California nonprofit public benefit corporation, which owns and operates Cedars-Sinai Medical Center, an 886 licensed bed general acute care hospital located in Los Angeles, and Marina Del Rey Hospital, a 133 licensed bed general acute care hospital located in Marina Del Rey. The transaction proposes that Cedars-Sinai Health System become the sole corporate member of Torrance Health Association. The transaction is being reviewed under the written notice review process pursuant to Corporations Code section 5920 et seq.

The California Attorney General will conduct a public meeting concerning the above proposed transaction on November 13, 2017, beginning at 9:00 a.m., at the Torrance Memorial Medical Center, Hoffman Conference Center located at 3330 Lomita Blvd, Torrance, CA 90505. The purpose of the public meeting is to receive comments on the proposed change in control and governance of each facility and to consider the Health Care Impact Statement prepared by consultants engaged by the California Attorney General in connection with the California Attorney General's review of this proposed transaction, as required by Corporations Code section 5920 et seq. Prior to the public meeting, the Health Care Impact Statement will be available on the California Attorney General's Nonprofit Hospital Transaction Notices page.
